Brandon Hadley concentrates his tax practice in debt instruments, financial products, securitization, and cross-border investments. His principal areas of experience include debt capital markets transactions, asset-backed securitization, and the structuring of derivatives and hybrid securities. In addition, Mr. Hadley has substantial experience in complying with the Foreign Account Tax Compliance Act (FATCA) and related withholding tax issues, structuring cross-border investments into the United States, real estate investment trusts (REITs), and real estate mortgage investment conduits (REMICs).


Mr. Hadley counsels U.S. and offshore issuers and underwriters in public offerings and private placements of securities. He has provided tax advice for private equity investments in U.S. real estate, performing and non-performing debt instruments, and equity securities. An advisor to many tax-exempt organizations with respect to US federal tax matters, Mr. Hadley provides pro bono services to, and serves on the board of the Amara Legal Center. Prior to joining Katten, Mr. Hadley was a tax associate at Dewey & LeBoeuf LLP. He has authored tax articles for Lexis and BNA Tax Management. Mr. Hadley received the Pro Bono Service Award from Georgetown University Law Center in 2005.
